BEAT THE BUZZER, PRESENTED BY TOYOTA OFFICIAL RULES NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING.  VOID WHERE PROHIBITED BY LAW. Eligibility BEAT THE BUZZER, PRESENTED BY TOYOTA (the “Promotion”) is open to legal US residents of Oregon or Washington who are eighteen (18) years of age or older at the time of participation. Excluded residents WILL NOT be eligible to receive any prizes. Employees of Toyota Motor Corp. of North America and the Pacific Northwest Toyota Dealers Association (collectively, “Toyota “), Trail Blazers Inc. (“Administrator” and together with Toyota collectively referred to herein as “Sponsor”), the National Basketball Association (“NBA”) and its Member Teams, NBA Properties, Inc., and each of their respective parent companies, affiliates, subsidiaries, franchisees, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies, website providers, web masters, and members of their immediate families (spouses, parents, siblings and children, regardless of where they live) and household members (whether or not related) are not eligible to win a Prize (defined below).   By participating in the Promotion, each participant is voluntarily providing contact information to Sponsor, which includes such participant’s consent to provide such information to their respective designees, and accepts and agrees to be bound by the terms, conditions and provisions contained in these Official Rules and the decisions of Administrator and/or Sponsor, which decisions will be final in all regards.  Administrator and Sponsor reserve the right to modify or update these Official Rules without notice at any time during the Promotion Period as may be deemed necessary or required, as determined in their sole and reasonable discretion. Promotion Period; Contests The Promotion will consist of a series of Contests (as defined below) beginning on January 14, 2021 and ending on the date of the final Portland Trail Blazers (“Trail Blazers”) 2020-21 NBA regular season home game (excludes all playoff games) (the “Promotion Period”).  During the Promotion Period, each applicable “Contest” will be conducted as follows: Each participant must be registered in the Promotion in order to participate in any Contest.  All times relating to the Promotion and each Contest will be Prevailing Pacific Time (“PPT”) and Administrator’s clock will be the official time keeping device for all Contests which occur during the Promotion Period. Each Contest will open one (1) hour prior to the NBA official scheduled start time of each respective Trail Blazers home game and the Contest will end at the official conclusion of each such game or at such time as all twenty (20) questions have been asked and the time for answering the final question has expired, as provided below (each a “Contest Period”). Each Contest will consist of twenty (20) skill-based questions that will be provided in the activation beginning at the start of each Contest Period and thereafter during the respective Contest Period.  For each question, participants must submit an answer before the timer expires at the bottom of the screen. you must be registered and logged into the website prior to the first question being asked and provide answers for each question in any respective Contest in order to be eligible to win a prize for such Contest. The first Contest will be held on January 14, 2021 and the final Contest will be held prior to the final Trail Blazers scheduled home game of the 2020-21 NBA regular season (excluding all playoff games).  The exact number of Contests will depend on the number of actual Trail Blazers regular season home games played during the Promotion Period. All Trail Blazers regular season home game dates and times are determined in the sole discretion of the Office of the Commissioner of the NBA and may be subject to change.  As of the date of the beginning of this Promotion, the NBA has only determined the Trail Blazers game schedule through March 4, 2021; however, the Trail Blazers home games for the remaining portion of the NBA 2020-21 regular season, will be determined and provided to the general public during the Promotion Period.  Released Parties will not be responsible for any force majeure event which may affect in any manner any of the currently scheduled Trail Blazers home games which may occur during the Promotion Period, including but not limited to events such as acts of God, civil disturbances, riots, war (declared or undeclared), terrorism, acts of government, epidemics, pandemics, earthquakes, dangerous weather conditions, fire or other casualty, explosions, breakage or accidents to equipment or machinery, or any other cause whether similar or dissimilar to those enumerated. Participation Methods The Promotion and each Contest is free to participate in (standard data rates and other carrier fees may apply; see your service provider and plan for details before playing).  Participants must register in the Promotion in order to participate in any Contest. During the Promotion Period, participants may access a Contest by the determined access points which may include, but are not limited to:  Official Trail Blazers App, www.trailblazers.com/buzzer, Trail Blazers social media channels (Facebook, Instagram and Twitter), via a mobile phone, tablet or desktop, or via the Trail Blazers digital and social media channels where a banner, tile, content block or graphic with the applicable link.  Wireless service may not be available in all areas; check with your carrier for limitations.  None of Facebook, Inc., Twitter nor Instagram, LLC are offering, sponsoring nor administering this Promotion nor any Contest in any manner and shall have no responsibility or liability in connection hereto.  LIMIT ONE (1) E-MAIL ADDRESS AND ONE (1) METHOD OF PARTICIPATION PER PARTICIPANT PER CONTEST.  Attempting to participate using multiple methods beyond the specified limit will be voided and such participant may be disqualified, as determined in Sponsor’s sole discretion.  Participation in any Contest during the Promotion Period that is deemed to be generated by script, macro or other automated means or utilizing any other method or means which, in Administrator’s sole discretion, impacts the integrity of the Promotion or any Contest, will be considered a violation of these Official Rules and such participant will be disqualified and all answers relating to any Contest entered by such participant will be considered void. The Administrator reserves the right to disqualify any participant from the Promotion or any Contest at any time if the Administrator determines that such participant has entered the Promotion or participated in a Contest using automated means. Neither Sponsor nor Administrator is responsible for incomplete, lost, late, or misdirected registrations, or for failure to receive any registration due to transmission failure or technical failure of any kind, including, without limitation, malfunctioning of any mobile app, network, hardware or software, whether originating with registrant or Administrator.  In the event of a dispute, all registrations will be deemed to have been submitted by the owner of the electronic account from which they were sent.  For these purposes, an account holder shall mean the natural person assigned to such electronic account by the Internet access provider, online service provider or other organization responsible for assigning such electronic account.  Any questions regarding the owner of an account shall be determined by Administrator in its sole and reasonable discretion.  By registering, each participant further agrees to be bound by the terms relating to the use of the website, including its Terms of Use (https://www.nba.com/termsofuse) and Privacy Policy (https://www.nba.com/privacy-policy).  Promotion Administration The Promotion is administered by the Trail Blazers Inc.  By participating in the Promotion, each participant agrees that the Administrator and/or Sponsor will solely resolve any disputes and violation of these Official Rules that may arise in connection with the Promotion, and such decisions relating to such matters shall be final and binding in all respects. If you have questions regarding the administration of the Promotion or any Contest, please send an email to digital@trailblazers.com, using the subject line:  “Beat the Buzzer, Presented by Toyota Questions,” provide your name, telephone number, and your question.  All questions must be received no less than two (2) business days prior to any respective Contest in order for such person to participate in such Contest, up to and including the final Contest which occurs during the Promotion Period. Administrator reserves the right to disqualify any registration by persons determined to be tampering with or abusing any aspect of the Promotion or any Contest, as determined in its sole discretion.  In the event any aspect of the Promotion is compromised by a virus, non-authorized human intervention, tampering or other causes beyond the reasonable control of Administrator which corrupts or impairs the administration, security, fairness or proper operation of any Contest or the Promotion, Administrator reserves the right in its sole discretion to suspend, modify or terminate the respective Contest or the Promotion as a whole. Prizing Contest Random Drawing Prize:  By registering and participating in a Contest (answering at least one question in a Contest is required), each such participant will be entered into a random drawing for which one (1) potential winner will be selected to win a prize consisting of a ten dollar ($10) Rip City Clothing Co. Gift Card to be used for purchase of merchandise, in each case subject to verification of eligibility and compliance with these Official Rules (“Random Draw Prize”).  There will be only one (1) Random Draw Prize for each Contest held during the Promotion Period.  The Administrator will conduct the random drawing for selection of the potential winner for each applicable Contest.  Odds of winning a Random Draw Prize will vary and will depend on the total number of eligible participants in a respective Contest who meet the above required criteria for entry in the drawing. 1st Place Points Prize:  During each applicable Contest (as defined and provided above), eligible participants will receive one hundred (100) points for each correctly answered question in the respective Contest (“Points”); participants will not receive any points for an incorrectly answered question.  The Points will accumulate for each applicable participant during the respective Contest Period.  At the end of each Contest Period, the eligible participant that received the most Points for such Contest Period will be considered as a potential winner, who after verification of eligibility and compliance with these Official Rules will be awarded a prize consisting of a fifty dollar ($50) Rip City Clothing Co. Gift Card to be used for purchase of merchandise (“1st Place Prize”).  In the event of a tie among two or more participants in any respective Contest, Administrator will select the potential winner by a random drawing.  Only one (1) 1st Place Prize will be awarded for each respective Contest held during the Promotion Period.  Odds of winning a 1st Place Prize will vary and will depend on the total number of eligible participants who participate and answer the most questions correct to earn Points during a respective Contest (excluding any person who answers all twenty (20) questions correct to be eligible to be considered as a potential winner of a Grand Prize as provided in these Official Rules). Grand Prize:  One (1) eligible participant that answers all twenty (20) Contest questions correctly and earns 2,000 Points during a single respective Contest Period (with there to be no less than twenty (20) total questions in such Contest), will after confirmation of eligibility and verification by Administrator, be awarded a 2021 Toyota Highlander XLE with an approximate retail value (“ARV”) (based on standard MSRP) of $43,000 (excludes taxes, fees and other related expenses) (the “Grand Prize”).  In the event that more than one (1) eligible participant answers all twenty (20) questions in a respective Contest correctly and after confirmation of eligibility and verification by Administrator it is determined that such participants are qualified to win the Grand Prize, the participant who had the cumulative fastest time for answering the applicable questions will be determined as the winner of the Grand Prize for such Contest.  Administrator reserves the right to award the 1st Place Prize above to the participant who does not win in a Grand Prize tie break.  Only one (1) Grand Prize will be awarded for any Contest in the Promotion.  Odds of winning a Grand Prize will vary and will depend on the total number of eligible participants who participate and answer all twenty (20) questions correctly during each respective Contest.  There will be a minimum of three (3) Grand Prizes available and a maximum of ten (10) Grand Prizes awarded in the Promotion, unless otherwise determined by Administrator and Sponsor in their sole discretion. Award of the Grand Prize to any potential winner will require additional documents, instructions for award and receipt of prize, as well as certain other restrictions for pick up and/or delivery of the respective prize vehicle from a designated local Pacific Northwest Toyota Dealer.  The exact make, model and trim-level of the vehicle will be determined based on availability at time of award and Sponsor reserves the right to provide a vehicle of comparable value.  Administrator and/or Sponsor will provide all required documents to a potential winner prior to award of the prize. Promotion Period Prize Drawing:  Within three (3) business days after the conclusion of the final Contest which occurs during the Promotion Period, Administrator will select the participant with the highest cumulative Points accrued for correct answers in the Contests participated in during the Promotion Period and who has not won any of the prizes set forth above.  After confirmation of eligibility and verification by Administrator such participant will be awarded a prize package consisting of: a VIP Experience and game tickets for two (2) persons to a Trail Blazers regular season home game during the 2021-22 NBA regular season (pending COVID-19 restrictions or any other event which may prevent the general public from attending games in the Moda Center arena at such time), and one (1) customized Trail Blazers jersey for the winning participant only (excludes transportation, parking, food, beverages and all other incidental expenses) (“Promotion Period Prize”).  Odds of winning the Promotion Period Prize will depend on the total number of eligible participants who participate in Contests and who have answered questions correctly to earn Points during the Promotion Period and who did not win any of the prizes set forth above.  In the event that there are more than one (1) eligible participant with the same amount of cumulative Points accrued during the Promotion Period, Administrator will determine the sole winner by using a tie-breaker based on determining which participant had the higher number of Contests participated in during the Promotion Period; and if that does not result in a sole winner, then Administrator shall determine the sole winner by random draw from among the remaining tied participants.  There will be only one (1) Promotion Period Prize awarded in this Promotion. Before claiming any prize, each potential winner agrees to execute all necessary and requested documents, including without limitation, an affidavit of eligibility, a liability and publicity release (except where prohibited by law), compliance with these Official Rules, along with any other written documentation or information required by the Administrator and/or the Administrator’s insurer, and further agrees to provide a copy of a government issued identification card containing a photo of such winner.  Failure to sign and return the foregoing documents, or any other documents, as requested by Administrator, or to comply with any term or condition of these Official Rules, may, at the sole discretion of Sponsor, result in a potential winner's disqualification and the forfeiture of the applicable prize. From time to time, the Administrator may void (cancel) a question that it determines in its sole discretion was either (i) incorrectly stated or answered, or (ii) is not applicable based on the then-current game play, or (iii) becomes not applicable based on any other circumstances.  In this situation the voided question will not count as an active question in determining participants’ eligibility for the Grand Prize.  The voided question may be replaced by the Administrator in order to offer at least twenty (20) active, non-voided questions.  In all cases, a participant is required to correctly answer all active questions of a respective Contest, with a minimum of at least twenty (20) active, non-voided questions in order to be eligible to win a Grand Prize. In the event that an error is made by the Administrator, a replacement question is not provided for a voided question, and/or fewer than twenty (20) active non-voided questions are provided during a respective Contest, no participants will be eligible to win the Grand Prize for such Contest. LIMIT OF ONE (1) PRIZE OF ANY KIND PER PARTICIPANT OR HOUSEHOLD. Prize Notification Each potential winner will receive a notification from Administrator based on the information provided at the time of registration within ten (10) business days of the conclusion of the respective Contest.  Each potential winner will be notified at the contact information provided by such participant within three (3) business days of the end of the respective Contest Period or drawing.  In the event contact with a potential prize winner is not confirmed within three (3) business days of attempted notification, or if a potential winner declines to receive the prize, then Administrator may select another potential winner based on the respective applicable prize.  Each confirmed winner will be solely responsible for any and all federal, state, and local income taxes, as applicable.  Neither Sponsor nor Administrator will be responsible for and will not pay or in any way compensate any participant or winner for taxes or expenses associated with participation in and/or acceptance or use of a prize in any Contest or this Promotion.  As required by law, Sponsor will issue a Form 1099-MISC to each applicable winner reporting the taxable retail value of their respective prize.  Each potential winner should consult their personal tax advisor about the tax implications of accepting their respective prize.  Each potential winner agrees to execute all necessary and requested documents, including without limitation the affidavit of eligibility, and a liability and publicity release (except where prohibited by law), as requested by Sponsor and agrees to provide a copy of a government issued identification card containing a photo of such potential winner.  Failure to sign and return the affidavit, release or other required documents, or to comply with any term or condition of these Official Rules, may, at the sole discretion of Sponsor, result in disqualification and the forfeiture of such winner’s interest in a prize.  Promotion Period Prize winner’s guest may be required to sign an affidavit and release and waiver of liability to receive the benefits of the prize or any portion thereof, as applicable.  Guest of the Promotion Period Prize winner must comply with the terms and conditions of these Official Rules in order to be eligible to receive benefits of such prize experience, regardless of whether they were an actual participant in the Promotion. Prizes have no cash value.  Any difference between the stated ARV and the actual retail value at time of award of any prize will not be awarded.  No cash will be provided to winner for any unused portion of a prize.  The odds of winning a prize will depend on the number of eligible participants in any respective Contest.  No prize substitution allowed, except that a prize and any portion thereof is subject to availability and Sponsor reserves the right to substitute a prize of equal or comparable value.  Prizes are non-transferable.  All taxes associated with the receipt or use of any prize are the sole responsibility of each respective individual winner.  In the event that the awarding of any prize to a winner in this Promotion is challenged by any legal authority, then the Administrator and Sponsor each reserve the right in its respective sole discretion to determine whether or not to award or adjust such prize.  In any and all disputes arising out of the determination of any winner in a Contest, the Administrator will be the sole judge and its actions will be final and binding in all aspects. General Rules The Promotion and all Contests are subject to all applicable federal, state and local laws and regulations.  Each Contest is considered as a skill contest designed for entertainment and to increase fan engagement in connection with the viewing of Trail Blazers basketball home games.  The Contests may not be used for, or in connection with, any form of gambling. By participating in the Promotion, including acceptance and/or use of any prize, such participant releases Toyota Motor Corp. of North America, the Pacific Northwest Toyota Dealers Association, Trail Blazers Inc., Rip City Management LLC, the NBA and its Member Teams, NBA Properties Inc., Facebook, Inc., Twitter, Instagram, LLC, Tradable Bits, Maple Leaf Sports & Entertainment Partnership, Lloyds of London, and each of their respective affiliated companies, and subsidiaries, directors, officers, employees, representatives, partners and agents (“Released Parties”) from any liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising out of or in connection with the Promotion, any Contest, or with the acceptance, possession or use of any prize (including, without limitation, any claim, cost, injury, loss or damage related to any personal injury, death, damage to, loss or destruction of property, right of publicity or privacy, defamation or portrayal in a false light). By participating in the Promotion, each participant grants to the each of Toyota Motor Corp. of North America, the Pacific Northwest Toyota Dealers Association, Trail Blazers Inc., and each of their respective designees, including but not limited to sponsors or agencies, the right, without obligation, to use his/her name, display name, likeness, city and state of residence, and Promotion registration information for purposes of advertising, promotion, trade and/or any other purpose in any media or format now known or hereafter devised, throughout the world, in perpetuity, without limitation and without further compensation, consideration, permission or notification, unless prohibited by law.  Each participant expressly consents to the posting of their display names and Contest/Promotion status on the Promotion leaderboard. No Released Party will be responsible for lost, late, stolen, garbled, delayed, undeliverable or misdirected Promotion question or answer or prize notification content whether caused by a participant, equipment, or technical malfunction or any human error, technical error or malfunctions. No Released Party will be responsible for any problems or technical malfunction of any mobile app, telephone network, cable, satellite, wireless, Internet service provider or lines, computer systems, servers, computer equipment, software, malfunctions of mobile devices or other wireless devices, wireless service problems, mobile app, or cellular tower equipment that may cause question or answer content to be delayed or not delivered.  Neither Administrator nor Sponsor will be responsible for any typographical, printing or other inadvertent errors in these Official Rules or in any other materials relating to the Promotion or any Contest, including but not limited to any questions provided during any such Contest. If technical difficulties of any kind compromise the integrity or ability to continue the Promotion or any Contest play, the Administrator and Sponsor, each reserve the right to modify or terminate any Contest or the Promotion, or any element of the Promotion in their sole and reasonable discretion. Warning:  Any attempt to deliberately damage any website, the Trail Blazers App or any other mobile app or other computer systems associated with this Promotion or Contest, or undermine the legitimate operations of the Promotion or Contest may be in violation of criminal and civil law, and, should such an attempt be made, the Released Parties reserve the right to prosecute and seek damages from any person responsible for the attempt to the fullest extent permitted by law. In the event that the Promotion is challenged by any legal or regulatory authority, the Administrator and Sponsor reserve the right to discontinue or modify any Contest or the Promotion, or to disqualify participants residing in the affected geographic areas.  In such event, the Released Parties shall have no liability to any affected participants. As a condition of participating in this Promotion, each participant agrees that (i) any and all disputes, claims, controversies or causes of action arising out of or relating to this Promotion, or any prizes awarded (each, a “Claim”), shall be (1) arbitrated on an individual basis only, and shall not be consolidated or joined with or in any arbitration or other proceeding involving a Claim of any other party, and (2) settled by binding arbitration in Multnomah County, Oregon before a single arbitrator appointed by the American Arbitration Association in accordance with its then governing rules and procedures, and judgment on the award rendered by the arbitrator may be entered by any court having jurisdiction thereof; and (ii) under no circumstance will any participant be permitted to obtain awards for, and each participant hereby waives all rights to claim, punitive, incidental, consequential or any other damages, other than for actual out-of-pocket expenses. These Official Rules and the Promotion shall be governed by and construed and interpreted by the laws of the state of Oregon. OFFICIAL RULES TRAIL BLAZERS HOME COURT PLAY & WIN PROMOTION 1. NO PURCHASE NECESSARY TO ENTER OR TO WIN. A PURCHASE WILL NOT INCREASE YOUR ODDS OF WINNING. ALL FEDERAL, STATE, LOCAL AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED. 2. ELIGIBILITY. The Trail Blazers Home Court Play & Win Promotion (the “Promotion”) is open to persons 18 years of age or older at the time of entry who are legal US residents residing in the state of Oregon and Western Washington, except employees of the Trail Blazers Inc. (“Sponsor”), Rip City Management LLC, the National Basketball Association (“NBA”) and its Member Teams, NBA Properties Inc., Toyota Motor Corp. of North America, the Pacific Northwest Toyota Dealers Association, and each of their respective affiliated companies, subsidiaries, and advertising or promotional agencies, and the family members, agents, successors or assigns of, and any persons domiciled with, such employees, are not eligible for entry. 3. PROMOTION. The Promotion will consist of a series of two (2) separate contests (as provided below) during the Portland Trail Blazers (“Trail Blazers”) regular season home games (each a “Home Game”), beginning with the Home Game scheduled at 7:00 p.m. Pacific Prevailing Time (“PPT”) on January 25, 2021, and ending with the final Trail Blazers 2020-21 NBA Home Game (excludes all playoff home games) (the “Promotion Period”). The exact number of contests conducted will depend on the number of actual Trail Blazers NBA 2020-21 regular season home games played during the Promotion Period. All Trail Blazers regular season home game dates and times are determined in the sole discretion of the Office of the Commissioner of the NBA and may be subject to change. PARTICIPATION; PRIZES; ODDS. During each Trail Blazers Home Game which occurs during the Promotion Period, participants will need to go to the www.trailblazers.com/homecourt website, click on the applicable event(s) and provide the required information to participate in the manner described below (each an “Event”). You can participate in one or both of the following Events during each respective Home Game: Poll Questions Promotion Drawing: During each respective Home Game, after tip-off there will be a series of poll questions asked for which participants will provide an answer. By participating in the poll and answering the question(s), each participant will be entered into a drawing which will occur after conclusion of the respective Home Game. The first drawing will occur on January 25, 2021 and the final drawing will occur after conclusion of the final Trail Blazers 2020-21 NBA Home Game (each a “Drawing”). In each Drawing, one (1) potential winner will be chosen by random drawing from all eligible participants who have answered at least one (1) question in the respective poll. After confirmation of eligibility, verification and compliance with these Official Rules, each confirmed winner of a Drawing will be awarded one (1) $25 Rip City Clothing Company Gift Card. Approximate retail value of prize is $25. Odds of winning a prize in the poll question Drawing will vary for each Home Game based on the number of eligible participants that answer at least one poll question. 8-Bit Digital Game Contest: During each respective Home Game, beginning at tip-off through the end of the 3rd Quarter participants can play the 8-bit digital game offered (“8-Bit Game”). The participant playing the 8-Bit Game with the highest score at the end of the 3rd Quarter will be considered as the potential winner of the respective 8-Bit Game. The first 8-Bit Game will occur on January 25, 2021 and the final 8-Bit Game will occur during the final Trail Blazers 2020-21 NBA Home Game. After confirmation of eligibility, verification and compliance with these Official Rules, each confirmed winner of an 8-Bit Game will be awarded one (1) $50 Rip City Clothing Company Gift Card. Approximate retail value of prize is $50. Odds of winning a prize in an 8-Bit Game will vary for each Home Game based on the number of eligible participants and the number of such participants that have the highest score in each such game. If there is a tie in an 8-Bit Game, Sponsor reserves the right to select the winner using a random draw from the tied participants. Prizes have no cash value; any difference between the stated value and the value used for purchases by a winner will not be awarded as cash. The odds of winning a prize in the Promotion will depend on the number of eligible participants in each respective Event and each applicable Home Game. No substitutions allowed, except that each prize is subject to availability and Sponsor reserves the right to substitute a prize of equal or greater value. Each winner agrees that the prize awarded is personal to such winner and may not be sold, resold, auctioned, bartered, assigned exchanged, placed in commerce, transferred, given away, donated, or otherwise conveyed, without the express written consent of Sponsor. 5. WINNER NOTIFICATION AND ACCEPTANCE. Each potential winner will be notified by telephone and/or email as provided on their method of entry within forty-eight (48) hours of the drawing. In the event contact with a potential winner is not confirmed within seventy-two (72) hours of attempted notification, or if a potential winner declines to receive the prize, another entrant will be randomly chosen. Each confirmed winner is solely responsible for any and all federal, state, and local income taxes, and unless specifically stated herein, is solely responsible for any additional expenses which may be associated with participation in the Promotion, and acceptance and/or use of the prize, including but not limited to hardware, software or any other technical requirements for use of prize. Sponsor is not responsible for and will not pay or in any way compensate any winner for taxes or expenses associated with participation in and/or acceptance or use of the prize in this Promotion. If required by law, Sponsor will issue a Form 1099-MISC to each winner reporting the taxable retail value of the prize. Each winner should consult a professional tax advisor about the tax implications of winning the prize. Each potential winner agrees to execute all necessary and requested documents, including without limitation the affidavit of eligibility, and a liability and publicity release (except where prohibited by law), as requested by Sponsor and/or the NBA, and further agrees to provide a copy of a government issued identification card containing a photo of such potential winner. Failure by any potential winner to sign and return the required documents, or to comply with any term or condition of these Official Rules or the NBA restrictions, may, at the sole discretion of Sponsor, result in disqualification and forfeiture of such winner’s interest in the prize. Except where prohibited, participation in the Promotion, including acceptance and use of the prize, constitutes entrant’s consent to the publication, dissemination and use of such person’s name, photograph, image, likeness and voice, if applicable, by Trail Blazers Inc., Rip City Management LLC, the National Basketball Association and its Member Teams, NBA Properties, Inc., and each of their respective parents, subsidiaries and affiliates in any media, at any time, for any purpose, without any additional compensation to, permission from or inspection by such entrant. 6. PARTICIPATION. By entering the Promotion, each participant agrees to follow and be bound by these Official Rules and the decisions of Sponsor and hold harmless and indemnify Trail Blazers Inc., Rip City Management LLC, the National Basketball Association and its Member Teams, NBA Properties, Inc., Toyota Motor Corp. of North America, the Pacific Northwest Toyota Dealers Association, Instagram, LLC, and each of their respective parents, subsidiaries, affiliates, directors, officers, employees and agents against any and all liability, damages or causes of action (however named or described), with respect to or arising out of either (i) entrant’s participation, or (ii) the receipt or use of the prize, or any portion thereof, awarded in the Promotion. Sponsor reserves the right to disqualify persons found tampering with or otherwise abusing any aspect of this Promotion as solely determined by Sponsor. In the event the Promotion is compromised by a virus, non-authorized human intervention, tampering or other causes beyond the reasonable control of Sponsor which corrupts or impairs the administration, security, fairness or proper operation of the Promotion, Sponsor reserves the right in its sole discretion to suspend, modify or terminate the Promotion. Should the Promotion be terminated prior to the stated expiration date, Sponsor reserves the right to award prizes based on the entries received before the termination date. 7. LIMITATIONS OF LIABILITY. By participating in the Promotion, each participant agrees that (i) any and all disputes, claims, and causes of action arising out of or in connection with the Promotion, or any prizes awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Promotion, but in no event attorney’s fees; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and each entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses. 8. CONSTRUCTION. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any entrant and Sponsor, shall be governed by, and construed in accordance with the laws of the State of Oregon, without giving effect to any choice of law or conflict of law rules or provisions (whether of Oregon, or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than Oregon. The invalidity or unenforceability of any provision of these rules shall not affect the invalidity or unenforceability of any other provision. In the event that any such provision is determined to be invalid or otherwise unenforceable, these rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein. 9.
